Job Objective

The objective of the role is to manage DBS HK’s (“DBS”) legal and compliance risks arising for the activities and operations undertaken by the Institutional Banking Group (“IBG”) and Global Transaction Services (“GTS”) of DBS, and to assist IBG/GTS to comply with applicable laws and regulations in their activities and operations.

Responsibilities

  • To ensure the following legal and compliance support is provided to IBG/GTS and its operations:
  • manage legal, regulatory and compliance risks arising from the activities and operations undertaken by IBG/GTS
  • provide critical risk assessment of transactions, structures and new initiatives
  • review and advise on existing and new laws and regulations affecting the IBG/GTS business
  • review and where applicable, assist to negotiate contracts and agreements with DBS’ counterparties
  • review and revise customers facing documentations
  • work with IBG/GTS on bespoke transaction structures
  • work with IBG/GTS to develop and maintain standard documentation templates for specific transactions, structures or products
  • work with IBG/GTS, where necessary, to develop and issue guidelines and processes on specific matters to manage legal risks
  • assist in investigation, mediation and complaints; and
  • manage key litigation by and against DBS
  • Assist to manage DBS’ relationships with external law firms to ensure high quality, practical and succinct advice in a timely and cost-effective manner
  • Participate in key projects and initiatives of IBG/GTS
  • Work with IBG and Group LCS supporting IBG/GTS on any regional projects and initiatives
  • Act as a point of escalation for any material legal and compliance issues concerning IBG/GTS
  • Enhance legal and compliance risk awareness across DBS
  • Ensure valid and legally binding legal documents correctly reflecting the rights and obligations intended, and compliance with relevant laws and regulations and within risk acceptance thresholds
  • Manage litigation effectively
  • Build strong internal relationships, acting as a professional and value-adding partner with the business and support units
  • Ensure timely escalation of significant legal and regulatory developments, incidents and concerns to the relevant parties and proactively finding and developing solutions
  • Maintain good team spirit and working relationship within the LCS team

Requirements

  • A law degree from a common law jurisdiction is required, with a preference for Hong Kong qualified lawyer
  • A minimum of 8 years of relevant legal experience in the finance, banking, or payment industry, or private practice
  • Ability to develop rapport with businesses while maintaining independence
  • Ability to build strategic working relationships with all business and support units
  • Good interpersonal skills and a strong team player, capable of working effectively with business units and other support units
  • Good business focus with insights, innovation, and the ability to balance risk and control
  • Strong sense of ownership
  • Agile, with a growth mindset, proactive, and passionate about emerging laws and regulations
  • Reliable, organized, and detail-oriented
  • In-depth knowledge of relevant banking, technology, and other financial services related laws or regulations and operations. Knowledge of different products and services offered by IBG and GTS, including but not limited to cash management/payment products (FI-to-B, FI-to-FI, liquidity management), crypto, digital channels, third-party platforms, securities and client money handling, and cross-border data handling. Some knowledge in trade finance is a plus
  • Good communication and presentation skills
  • Proficiency in English and Chinese language skills (spoken and written)
